Carl Werner is an experienced and sophisticated transactional attorney serving as the Chair of the Corporate Department at Harris Sliwoski.   He provides advice to a wide array of clients in emerging industries ranging from cannabis cultivators to cryptocurrency miners, helping to close transactions in uncertain, unsettled and often highly regulated legal landscapes across a variety of jurisdictions in the U.S. and abroad.  His practice focuses on startup ventures, company financings, mergers and acquisitions and other transactional matters.

Prior to joining Harris Sliwoski, Carl was a partner at Vicente LLP based in Denver, Colorado, where he spent eight years handling transactional matters in emerging regulated industries, especially cannabis, hemp and psychedelics.  He also has considerable experience with tech startups, especially in the health care and Web3 spaces.  He advises clients ranging from startups to billion-dollar enterprises, spanning nearly the entire globe.  In addition to his transactional practice, Carl frequently advises clients on matters of risk assessment with respect to novel ventures.   He is known for combining a common-sense approach to the practice of law with his extensive business acumen, focusing on providing clear, real-world advice to his clients.

 

Well Rounded in Emerging Industries

Before law school, Carl was a tax professional and served as co-founder and CFO of multiple startups.  This experience gives him a well-rounded understanding of the business needs of startups in addition to their legal concerns, allowing him to rapidly and effectively navigate the legal waters of any industry.  Outside of his professional endeavors, Carl has worked on multiple political campaigns in roles ranging from field organizer to policy advisor.  He is also an enthusiastic gardener, particularly dedicated to cultivating the elusive pawpaw tree.  Carl and his wife spend much of their time outdoors with their dog, Rufio.

Carl graduated from Harvard Law School, where he was a research assistant to Professor Charles Nesson on international policy matters.  He also worked for the editorial team of the Harvard Journal of Law and Technology as well as the American Civil Liberties Union.  Carl is a native denizen of Kansas City, Missouri and holds a Bachelor of Arts from the University of Missouri – Columbia.
