Wendy Culbertson is a corporate and securities attorney focusing on U.S. securities laws and capital markets transactions. Wendy advises founders, companies, funds, and investors on U.S. capital markets, corporate governance, and regulatory compliance. Her practice focuses on private offerings, fund formation, mergers and acquisitions, and public-company readiness, with particular depth in securities exemptions, SEC and FINRA compliance, and cross-border transactions. She also advises fintech, blockchain, and Web3 companies on token analysis, regulatory strategy, and DAO governance.

Wendy represents entrepreneurs, growth-stage companies, and investors in securities transactions and strategic matters involving several billion dollars in aggregate value. Her work includes advising on capital-raising transactions, including Regulation D private placements, Regulation CF crowdfunding, and Regulation A offerings. She also supports SEC reporting and IPO-readiness initiatives and assists SEC- and FINRA-registered firms with ongoing compliance and regulatory matters. She is known for providing practical, business-oriented guidance in highly regulated and fast-moving environments.

Before entering the legal profession, Wendy built a strong commercial and technical foundation in the technology sector. She supported enterprise-level customer operations for a leading global software platform and later managed customer operations across South Asia for a global smartphone manufacturer. These roles established her technical fluency and continue to inform her pragmatic approach to advising technology companies and fintech businesses.

Experienced Corporate Finance & Securities Attorney

Wendy began her legal career at Perkins Coie, where she worked on complex commercial and regulatory litigation matters. Her experience included large-scale document analysis in high-stakes disputes and later expanded to financial services and creditor-related matters, including drafting pleadings and dispositive motions and ensuring compliance with federal consumer-protection laws. This litigation background sharpened her analytical rigor and regulatory and litigation risk-assessment skills, which continue to inform her transactional and compliance work.

She later transitioned into in-house counsel and advisory roles for companies operating in securities-driven and technology-enabled industries. She previously served as in-house counsel to ZeroEx, a decentralized exchange and Web3 protocol, where she advised on securities, commodities, broker-dealer, and money-transmission regulations and conducted digital-asset and blockchain token analysis.

Wendy is licensed to practice law in Arizona and Texas and is fluent in English and Mandarin. She is an active member of Arizona Entrepreneurs and is known for her solutions-driven approach to helping clients navigate legal and regulatory complexity while protecting enterprise value and positioning companies for sustainable growth through capital formation, governance, and regulatory compliance.
